1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RevFlow, Inc. ("RevFlow," "we," "us," or "our") governing your access to and use of the RevFlow GTM AI Platform, including all associated features, tools, APIs, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

RevFlow provides an AI-powered Go-To-Market platform that includes:

• AI Agents: Intelligent automation for lead research, qualification, and outreach
• CRM Integration: Connections to Salesforce, HubSpot, and other platforms
• Content Generation: AI-powered content creation and optimization
• Analytics: Performance tracking and insights
• Team Collaboration: Multi-user workspace features
• APIs: Developer access for custom integrations

3. Account Registration

3.1 Account Creation

To use the Services, you must create an account by providing accurate, complete, and current information. You agree to update your information to keep it accurate.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling two-factor authentication

3.3 Account Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with notice where required by law.

4. Subscription and Payment

4.1 Pricing Plans

We offer various subscription plans with different features and pricing. Current pricing is available at revflow.ai/pricing.

4.2 Free Trial

New users may be eligible for a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using premium features.

4.3 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Failed payments may result in service suspension

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

5. Acceptable Use Policy

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Send spam, unsolicited emails, or violate anti-spam laws (CAN-SPAM, GDPR)
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with the operation of the Services
• Reverse engineer or decompile any part of the Services
• Use the Services for illegal, harmful, or fraudulent purposes
• Resell or redistribute the Services without authorization
• Scrape or harvest data without permission
• Create fake accounts or impersonate others

6. User Content

6.1 Your Content

You retain ownership of all content you upload to the Services ("User Content"). By uploading content, you grant us a license to use, store, and process it to provide the Services.

6.2 Content Restrictions

You are responsible for ensuring your content does not violate any laws or third-party rights. We may remove content that violates these Terms.

6.3 AI-Generated Content

Content generated by our AI features is provided for your use. You are responsible for reviewing and ensuring such content is appropriate before use.

7. Intellectual Property

The Services, including all software, designs, logos, and documentation, are owned by RevFlow and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Services in accordance with these Terms.

You may not copy, modify, distribute, or create derivative works of our intellectual property without express written permission.

8. Third-Party Services

The Services may integrate with third-party services (e.g., Salesforce, HubSpot, OpenAI). Your use of such integrations is subject to the terms of those services. We are not responsible for third-party services or content.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. AI-generated content may contain errors and should be reviewed before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless RevFlow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive the right to participate in class actions.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notice at least 30 days before they take effect. Continued use after changes constitutes acceptance.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and RevFlow
• Severability: If any provision is unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for failures due to circumstances beyond our control
